1. Introduction

Welcome to D2N.in ("Platform"). By registering as a D2N Network Member (Vendor/Seller), you agree to comply with these Terms & Conditions, which govern your use of the platform, product listings, business conduct, and compliance obligations.

D2N.in is a technology service provider that enables vendors to create their own subdomain stores and sell products independently. D2N.in does not manage transactions, payments, or inventory for vendors.

2. Vendor Account & Eligibility

  • To sell on D2N.in, vendors must provide accurate business details during registration.
  • Vendors are responsible for maintaining up-to-date information, including contact details, business name, and tax compliance status.
  • D2N.in reserves the right to approve, reject, or suspend vendor accounts at its sole discretion.

3. Product Listings & Business Conduct

3.1 Listing Guidelines

  • Vendors must accurately describe products, including specifications, pricing, and availability.
  • Prohibited Items: Counterfeit goods, illegal products, misleading advertisements, or restricted items are strictly forbidden.
  • Vendors are solely responsible for quality assurance, compliance, and legal certification of their products.

3.2 Business Conduct & Ethics

  • Vendors must operate their business ethically and professionally.
  • Misleading product descriptions, false advertising, or fraudulent activity will lead to account suspension.
  • Vendors must comply with all applicable tax, consumer protection, and e-commerce laws.

4. Orders, Payments & Transactions

  • Vendors receive payments directly from buyers via their chosen payment methods.
  • D2N.in does not process payments or hold buyer funds. Vendors are responsible for resolving payment disputes.
  • Orders must be fulfilled in a timely manner, and any delays or cancellations must be communicated to the buyer.

5. Shipping & Delivery

  • Vendors must clearly state their shipping policies, costs, and estimated delivery times.
  • Vendors are responsible for packing, dispatching, and providing tracking information (if applicable).
  • D2N.in is not liable for delivery delays, lost shipments, or customer complaints regarding shipping.

6. Returns & Refunds

  • Vendors must define their own return, refund, and exchange policies and clearly communicate them on their store page.
  • If a buyer requests a return, vendors must handle it directly per their stated policy.
  • D2N.in does not process refunds or enforce return policies but may take action against vendors with repeated complaints.

7. GST & Compliance Guidelines

7.1 GST Registration Requirement

  • Vendors must determine whether GST registration is required for their business.
  • Mandatory GST Registration applies if:
    • The vendor’s annual turnover exceeds ₹40 lakh (₹20 lakh for special category states).
    • The vendor sells outside their home state (interstate sales).
    • The vendor supplies B2B customers requiring GST invoices.

7.2 Tax Compliance Responsibility

  • Vendors are fully responsible for tax compliance, invoicing, and filing returns.
  • D2N.in does not collect, remit, or manage taxes on behalf of vendors.

7.3 Vendor Declaration By selling on D2N.in, vendors confirm that they:

  • Understand and comply with applicable tax laws.
  • Register for GST if legally required.
  • Take full responsibility for their tax obligations.

8. Acceptable Use & Platform Guidelines

  • Vendors must not misuse the platform for fraudulent activities, misleading listings, or illegal sales.
  • Any attempt to manipulate pricing, fake reviews, or deceive customers will lead to immediate suspension.
  • D2N.in reserves the right to remove listings or suspend accounts violating platform policies.

9. Dispute Resolution

  • Vendors must attempt to resolve buyer disputes directly and professionally.
  • If a dispute remains unresolved, buyers may report the issue to D2N.in for review.
  • D2N.in may take action against vendors with excessive disputes but does not mediate transactions or process refunds.

10. Account Suspension & Termination

  • D2N.in reserves the right to suspend or terminate vendor accounts in cases of:
    • Violation of these Terms & Conditions.
    • Repeated customer complaints.
    • Selling prohibited or fraudulent products.
  • Suspended vendors may request reinstatement by addressing the reported issues.

11. Amendments & Updates

  • D2N.in may update these Terms at any time. Vendors will be notified of significant changes.
  • Continued use of the platform after updates constitutes acceptance of the revised Terms.
